We first perform an in-depth client assessment including a thorough analysis of the entity to be sold, its industry position, competitive dynamics, company strategy, distinctive competencies, etc. Critical to the sale process is the preparation and proper positioning of our client to elicit peak interest. Next, after obtaining client input, we assemble an extensive list of high quality buyer groups. This list is a product of Dyrehaven's industry knowledge, domestic & international relationships, extensive research capabilities and proprietary data bases. From this list, we then selectively identify and approach those strategic buyers that are most likely to be interested in our client's business. Dyrehaven then prepares an in-depth offering memorandum that fairly and accurately explains the business opportunity to potential buyers. While the memorandum is prepared as a balanced, honest and informative presentation, we appropriately attempt to highlight client strengths while putting any perceived weaknesses in the proper perspective. With each potential buyer, we identify synergies, cost savings and strategic opportunities that best fit our client and, which provide compelling reasons for the sale transaction to occur. Dyrehaven & Associates manages all communications with potential buyers (including site visits) from inception, and often becomes an integral part of the deal structuring and negotiating process. And, as a matter of course, we work in tandem with our client's attorneys, accountants and other professional advisors to insure a smooth closing with due speed. All engagements are conducted with the utmost in sensitivity to the confidential, proprietary and unique requirements of the business and principals involved. Kiwi Securities offers a two year Mergers & Acquisitions Analyst program, with a discretionary third year for outstanding candidates. As an Analyst with our Firm, you will receive all of the basic training you will need to complete detailed and thorough financial analysis of the transactions you will work on. You will become completely facile with financial and presentation software, and in using external and real time databases and information sources. You will learn how to value companies, and how to do DCF, LBO, Merger and Recapitalization analyses. You will come to Client meetings with our senior bankers on your teams, and learn the art of our business by observing, to complement the science you will perfect on a daily basis. At the conclusion of your program, you will have gained a solid base of financial skills that will support you as you pursue the next step in your career, likely an MBA or other graduate program. The Associate is perhaps at once our most challenging, but most rewarding, job at Kiwi Securities. You will be working on different Client transactions on a regular basis, finding yourself responsible for running deal execution day to day, supervising and helping train the Analysts on your team and learning about building Client relationships. Our Associate program is four years in length, and our Associates typically come to us with an MBA from a top school, or a top graduate degree in finance or law. From Associate, you can advance to the Vice President position, which is the first Officer level job at Kiwi Securities. This role is a senior position within our firm, and involves juggling several Client deals simultaneously, meaning communication, interpersonal and time-management skills become increasingly important. You have primary responsibility for meeting Client needs and (working with Kiwi Securities Managing Directors) ensuring deadlines and deliverables are met. You have a pivotal role as both role model and mentor to the KSI employees who are on your deal teams. Your technical skills have been honed through years of experience, and are a resource for those around you to draw on. While some Vice Presidents will join Kiwi Securities from a background of deep experience such as a senior position at one of the major Wall Street firms, we are proud to look forward to the day when our Vice Presidents will become increasingly "home grown", rising up through the KSI ranks to in turn give back to those that gave to them. As Kiwi Securities grows, so will our sense of teamwork and accomplishment, led ably by our Vice Presidents. After a suitable period honing and exhibiting your management and technical skills as a Vice President, you will be invited to assume the role of Director, a senior Officer position at Kiwi Securities. You will have highly developed interpersonal skills and possess valuable business judgment. Your ability to quickly and efficiently assess a Client situation, suggest innovative and timely solutions, and deliver a motivated KSI deal team to achieve it, will be skills that will be sought out by Clients and your KSI team members alike. You will be a trusted confidant of your Clients, and be winning repeat mandates and new business for the Firm. You will have social and charitable responsibilities befitting a professional of your stature. Those select individuals who are invited to join our team at this level will possess unparalleled experience in successfully completing complex and value-added Merger and Acquisitions transactions, and will command unmatched Client rolodexes to drive new business to our bottom line. Given the skills required, and the ability to sell our services across our entire Client universe, it is our view that Managing Directors will over time come predominantly from inside our firm.
